A Thai limited company is owned by shareholders (minimum three) and managed by directors (minimum one). Shareholders can be foreigner(s) and/or Thais, as long as the Thais hold at least 51 percent of the company shares. Foreigner(s) can hold a maximum of 49 percent of the shares of the company.
The way for you to maintain controlling interest in the company is to issue two classes of shares; ordinary and preferred. Possession of ordinary shares would give the shareholder more voting rights in the company than the preferred shareholder.
The shareholder cannot sign on behalf of the company unless he/she is an authorized director. The liability of each shareholder is generally limited to the total par value of their shares, so you will be protected as the owner of the company and in practical terms you will own the company.
If you want a work permit, the Thai company needs registered capital of at least 2 million baht (about $60,000). If the company is simply established to own property, 1 million baht ($30,000) is sufficient.

If you want to set up an online business with the servers offshore, you can set up companies to take advantage of tax efficieny. For example, you have a hotel booking web site. The server is based offshore, e.g. in the U.S. Your hotel offers worldwide bookings. You open up a company in Hong Kong, as you would only pay corporate tax (known as profits tax in Hong Kong) on income derived within Hong Kong. In other words you would only pay tax on any income which is received from doing business in Hong Kong. But, seeing as most of the money would come from clients worldwide, you wouldn’t need to pay any tax on your profits. People would pay online into your corporate account set up in Hong Kong. Then you could set up a company in Thailand and set up your staff here. You would only pay Thailand corporate tax from any income generated within Thailand. This way, the majority of your company profits would be shielded from tax. This is a tax efficent business model for a Thai company set up with worldwide customers.
